Sonntag & Partner Partnerschaftsgesellschaft mbB, under the lead of the Nuremberg partner, tax consultant Christian Schöler, provided legal and tax advice to one of the shareholders on the sale of her shares in AICHINGER GmbH.
Before the long-established Wendelstein-based company Aichinger GmbH was to be taken over by the Edeka Group, the shareholders of Aichinger GmbH carried out an extensive internal reorganisation and a carve-out of two subsidiaries. Subsequently, all shares in Aichinger GmbH were sold to the Edeka Group as part of a share deal. The transaction was subject to approval by the German Federal Cartel Office and has now been finalised.
